Acceptance of Terms

These Terms of Service (“Terms”) are a legal agreement between you and Manage It, LLC (“ManageIt,” “we,” “us,” or “our”). By creating an account, accessing, or using the ManageIt platform, you agree to be bound by these Terms.

If you are using ManageIt on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms, and “you” refers to both you individually and the entity you represent.

If you do not agree to these Terms, do not use the platform.

Electronic Agreement Validity

By clicking “I Agree,” “Sign Up,” “Create Account,” or any similar button, or by creating an account or accessing and using the ManageIt platform, you acknowledge and agree that you are entering into a legally binding agreement with Manage It, LLC. Your electronic acceptance of these Terms constitutes a binding agreement equivalent to a handwritten signature, in accordance with the Electronic Signatures in Global and National Commerce Act (ESIGN Act, 15 U.S.C. 7001 et seq.) and the Uniform Electronic Transactions Act (UETA) as adopted by the applicable state.

You agree that electronic records and signatures satisfy any legal requirement that such communications or agreements be in writing. You further agree that you will not contest the validity or enforceability of these Terms solely on the basis that they were agreed to electronically.

Description of Service

ManageIt is a white-label multi-tenant CRM and business management platform. The platform provides tools for contact management, document generation (invoices, proposals, contracts), electronic signatures, payment collection, form building, appointment scheduling, automation workflows, and outgoing webhooks.

The platform operates on a three-tier structure:

  • Platform: The ManageIt infrastructure and services.
  • Agency: A business entity that subscribes to ManageIt to manage its operations and client relationships.
  • Subaccount: A client account within an agency, used to organize contacts, documents, and other data for a specific client or business unit.

Agencies may use ManageIt’s white-label capabilities to brand the platform with their own identity and offer it to their clients under their own name.

Account Terms

You must provide accurate and complete information when creating your account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You must be at least 16 years old to use ManageIt. If you are under 18, you must have permission from a parent or legal guardian.

One person may have a single ManageIt user account but may belong to multiple agencies and subaccounts through memberships. Each membership carries its own role and permissions.

You must notify us immediately at privacy@getmanageit.io if you become aware of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or are used for prohibited purposes.

Agency Responsibilities

If you operate an agency on ManageIt, you have additional responsibilities.

You are the data controller for all contact data, documents, form submissions, and other information stored within your agency and its subaccounts. You are responsible for ensuring that your collection and use of personal data complies with all applicable privacy laws, including obtaining proper consent from your contacts.

You are responsible for the accuracy and legality of the data you store on the platform, the content of documents you generate and send, the configuration and behavior of any automations, webhooks, or integrations you set up, and the actions of users you invite to your agency or subaccounts.

If you configure outgoing webhooks, you are responsible for the security of the receiving endpoints and the handling of data once it leaves the ManageIt platform.

If you use ManageIt’s white-label features, you must not misrepresent the origin of the service in a way that is deceptive or misleading to your clients.

Payment and Billing

Certain features of ManageIt require a paid subscription. Subscription plans, pricing, and included features are described on the platform and may change from time to time.

Agency Billing: Agencies subscribe to platform plans and are billed through Stripe on a recurring basis (monthly or annually, depending on the plan selected). Payment is due at the beginning of each billing cycle.

Subaccount Billing: Agencies may set up billing for their subaccounts using ManageIt’s agency billing tools. The terms of subaccount billing are between the agency and its clients.

Document Payments: ManageIt facilitates payment collection on invoices and other documents through Stripe. ManageIt is not a party to these transactions. The agency and its client are the sole parties to any payment made on a document.

Failed Payments: If a payment fails, we may retry the charge and may suspend access to paid features until the payment is resolved.

Refunds: Refund policies vary by plan. Contact us at privacy@getmanageit.io for refund requests.

Taxes: You are responsible for any applicable taxes associated with your use of the platform, except for taxes based on ManageIt’s income.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect immediately and you will retain access to paid features through the end of your current billing period.

Upon cancellation, your data remains accessible for the duration of the current billing period. After the billing period ends, your data may be retained in accordance with our Privacy Policy and data retention schedule.

If you wish to delete your account entirely, you may do so through your account settings. Account deletion has a 7-day grace period during which your data is automatically exported for your records. After the grace period, your account and associated personal data are permanently removed.

Prohibited Uses

You may not use ManageIt to:

  • Violate any applicable law, regulation, or third-party right.
  • Send spam, unsolicited communications, or messages in violation of anti-spam laws (such as CAN-SPAM or GDPR).
  • Store, transmit, or distribute malware, viruses, or other harmful code.
  • Attempt to gain unauthorized access to other users’ accounts, agencies, or subaccounts.
  • Interfere with or disrupt the platform’s infrastructure or other users’ access to the service.
  • Use the platform to collect personal information from children under 16 in violation of COPPA or similar laws.
  • Use automated scripts, bots, or scrapers to access the platform without our written permission.
  • Circumvent, disable, or otherwise interfere with security features of the platform, including tenant isolation and access controls.
  • Use the platform to facilitate fraud, phishing, or other deceptive practices.
  • Resell or redistribute access to the platform except through ManageIt’s authorized white-label and agency features.
  • Use the e-signature features to forge signatures or create fraudulent documents.
  • Upload files containing malicious content or that violate intellectual property rights.
  • Engage in money laundering, terrorist financing, or any transactions with persons or entities subject to economic sanctions administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC), the European Union, or any other applicable sanctions authority.
  • Use the platform to process payments or conduct financial transactions that violate applicable anti-money laundering (AML) laws or regulations.

We reserve the right to suspend or terminate accounts engaged in prohibited uses without prior notice.

File Storage

File storage on the ManageIt platform is subject to the storage limits defined by your subscription plan. Agencies are responsible for monitoring their storage usage and ensuring it remains within their plan’s allocation.

The following types of files are prohibited from being uploaded or stored on the platform: executable files (.exe, .bat, .sh, .cmd, .com, .msi, .app, .dmg, and similar), files containing malware, viruses, or other malicious code, files that infringe on third-party intellectual property rights, and files that violate any applicable law or regulation.

ManageIt reserves the right to scan uploaded files for security threats and to remove any files that violate these Terms or pose a security risk to the platform, its users, or its infrastructure. We will make reasonable efforts to notify the affected agency before removing files, except where immediate removal is necessary to protect the platform or comply with legal obligations.

If your storage usage exceeds your plan limits, we may restrict additional uploads until usage is brought within the allowed limits or your plan is upgraded.

Intellectual Property

ManageIt Ownership: The ManageIt platform, including its software, design, branding, documentation, and all related intellectual property, is owned by Manage It, LLC. These Terms do not grant you any ownership rights in the platform.

Your Content: You retain ownership of all data, documents, templates, form configurations, and other content that you create or upload to the platform (“Your Content”). By using the platform, you grant ManageIt a limited, non-exclusive license to store, process, display, and transmit Your Content solely as necessary to provide the service to you.

This license terminates when you delete Your Content or close your account, subject to our data retention schedule and any legal obligations to retain data.

White-Label Branding: Agencies may apply their own branding to the platform through our white-label features. Each agency retains ownership of its own brand assets. ManageIt retains ownership of the underlying platform.

Electronic Signatures

ManageIt provides electronic signature functionality intended to comply with the Electronic Signatures in Global and National Commerce Act (ESIGN Act) and the Uniform Electronic Transactions Act (UETA). Each signature captures an audit trail including the signer’s name, email, IP address, timestamp, and browser information.

ManageIt provides the tools to facilitate electronic signatures but does not guarantee the legal enforceability of any specific signed document. The enforceability of an electronically signed document depends on the laws of the relevant jurisdiction and the circumstances of the transaction. You are responsible for determining whether electronic signatures are appropriate and legally valid for your specific use case.

You must not use the e-signature features to create forged, fraudulent, or misleading documents.

Beta Features

From time to time, ManageIt may offer access to features, services, or functionality that are designated as “beta,” “preview,” “early access,” “experimental,” or similar designations (“Beta Features”).

Beta Features are provided on an “as is” and “as available” basis without any warranty of any kind. Beta Features may contain bugs, errors, or inaccuracies and may not function as intended. We make no representations or warranties regarding the reliability, availability, or performance of Beta Features.

ManageIt may modify, suspend, or discontinue any Beta Feature at any time, with or without notice, and without any obligation or liability to you. Beta Features may be removed entirely, or they may transition to generally available features with different terms, pricing, or functionality.

No service level agreement (SLA) applies to Beta Features. ManageIt makes no commitment regarding uptime, response times, support, or data retention for Beta Features.

By using Beta Features, you acknowledge and agree that you do so at your own risk. ManageIt shall not be liable for any loss, damage, or inconvenience arising from your use of, reliance on, or inability to use any Beta Feature. You should not rely on Beta Features for production workloads or critical business processes.

API Terms

ManageIt may provide application programming interfaces (APIs) that allow you to integrate the platform with your own applications and services. Your use of ManageIt APIs is subject to the following terms in addition to these Terms of Service.

Rate Limits: API usage is subject to rate limits that vary by subscription plan. ManageIt reserves the right to throttle, limit, or temporarily suspend API access if your usage exceeds applicable rate limits or places an unreasonable burden on platform infrastructure.

API Tokens: API authentication tokens are confidential credentials. You are responsible for keeping your API tokens secure and must not share them publicly or embed them in client-side code. If you believe an API token has been compromised, you must revoke it immediately through your account settings.

API Changes: ManageIt reserves the right to modify, deprecate, or retire API endpoints. We will make reasonable efforts to provide advance notice of material changes to API endpoints. Where possible, deprecated endpoints will remain available for a reasonable transition period before removal.

Acceptable Use: You must not use the API to circumvent platform security controls, access data belonging to other tenants, or perform actions that would violate these Terms of Service. Automated API usage must comply with all applicable rate limits and must not interfere with the platform’s availability or performance for other users.

No Warranty: APIs are provided on an “as is” basis. ManageIt does not guarantee the availability, accuracy, or reliability of any API endpoint.

Service Availability and SLA Disclaimer

We strive to keep the platform available at all times but do not guarantee uninterrupted access. The platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

ManageIt does not offer a formal Service Level Agreement (SLA). We do not guarantee any specific level of uptime or availability. We use commercially reasonable efforts to maintain the reliability and performance of the platform, but no service credits, refunds, or other remedies are provided for periods of unavailability.

We reserve the right to modify, suspend, or discontinue any part of the platform at any time. For significant changes that materially reduce functionality, we will provide reasonable notice to active subscribers.

We may update these Terms from time to time. When we make material changes, we will notify users by posting the updated Terms on the platform and updating the “Last Updated” date. For significant changes, we may also send an email notification. Your continued use of the platform after changes take effect constitutes acceptance of the updated Terms.

Limitation of Liability

To the maximum extent permitted by law, ManageIt and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use of or inability to use the platform.
  • Any unauthorized access to or alteration of your data.
  • Any third-party conduct on the platform.
  • Any content or data transmitted through the platform.
  • Any interruption or cessation of the service.

In no event shall ManageIt’s total liability to you for all claims arising from or related to these Terms or the platform exceed the amount you paid to ManageIt in the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Disclaimer of Warranties

The ManageIt platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the platform will be uninterrupted, error-free, or completely secure. We do not warrant that any defects will be corrected or that the platform will meet your specific requirements.

ManageIt is not a law firm and does not provide legal advice. The availability of electronic signature, invoicing, or contract features does not constitute legal advice regarding their use or enforceability in your jurisdiction.

Indemnification

You agree to indemnify, defend, and hold harmless Manage It, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney’s fees) arising from or related to:

  • Your use of the platform.
  • Your violation of these Terms.
  • Your violation of any applicable law or third-party right.
  • The content, data, or documents you create, store, or transmit through the platform.
  • Your agency’s collection, use, or processing of personal data through the platform.
  • Any dispute between you and your contacts, clients, or end users.

This indemnification obligation survives termination of your account and these Terms.

DMCA and Copyright

ManageIt respects the intellectual property rights of others. If you believe that content on the platform infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (DMCA) to our designated agent.

Your notice must include:

  • A description of the copyrighted work you claim has been infringed.
  • A description of the material you claim is infringing and its location on the platform.
  • Your contact information (name, address, telephone number, and email).
  • A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law.
  • A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf.
  • Your physical or electronic signature.

We will respond to valid DMCA notices by removing or disabling access to the allegedly infringing material. Repeat infringers may have their accounts terminated.

Export Compliance

The ManageIt platform and related services are subject to United States export control laws and regulations, including the Export Administration Regulations (EAR) administered by the U.S. Department of Commerce, Bureau of Industry and Security, and economic sanctions programs administered by the U.S. Department of the Treasury, Office of Foreign Assets Control (OFAC).

By using the platform, you represent and warrant that:

  • You are not located in, and are not a national or resident of, any country that is subject to a comprehensive U.S. embargo (currently Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine, though this list is subject to change).
  • You are not listed on, and are not owned or controlled by any person or entity listed on, any U.S. government restricted party list, including the Specially Designated Nationals and Blocked Persons List (SDN List), the Entity List, the Denied Persons List, or any other applicable restricted party list.
  • You will not use the platform in violation of any applicable export control law or sanctions regulation.
  • You will not re-export, transfer, or make available any ManageIt technology or services to any prohibited person, entity, or destination.

ManageIt reserves the right to suspend or terminate access to the platform if we reasonably believe that your use would violate applicable export control or sanctions laws.

Government Users

The ManageIt platform is a commercial item as that term is defined at 48 CFR 2.101, consisting of commercial computer software and commercial computer software documentation, as those terms are used in 48 CFR 12.212.

Consistent with 48 CFR 12.212 and 48 CFR 227.7202-1 through 227.7202-4, all U.S. Government end users acquire the ManageIt platform with only those rights set forth in these Terms of Service. No additional government rights beyond those provided in these Terms are granted.

The ManageIt platform is provided to U.S. Government customers under the same commercial terms and conditions that apply to non-government customers. Use, duplication, or disclosure by the U.S. Government is subject to restrictions as set forth in these Terms and applicable law.

Termination

You may terminate your account at any time through your account settings or by contacting us.

We may suspend or terminate your account immediately, without prior notice, if you violate these Terms, engage in prohibited uses, fail to pay subscription fees after notice, or if we are required to do so by law.

Upon termination, your right to access the platform ceases immediately. We may retain Your Content for a limited time in accordance with our data retention schedule and applicable legal requirements.

The following sections survive termination of these Terms: Intellectual Property, Limitation of Liability, Disclaimer of Warranties, Indemnification, DMCA and Copyright, Governing Law, Force Majeure, and any other provisions that by their nature should survive.

Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to: natural disasters (including earthquakes, floods, hurricanes, tornadoes, and volcanic eruptions), acts of war, terrorism, or armed conflict, pandemics, epidemics, or public health emergencies, government orders, regulations, embargoes, or sanctions, failures of the internet or telecommunications infrastructure, power outages or electrical failures, cyberattacks (including distributed denial of service attacks, ransomware, or other malicious activities), and failures or outages of third-party service providers (including cloud hosting, payment processors, email delivery services, and DNS providers) on which the platform depends.

The affected party must promptly notify the other party of the force majeure event and make commercially reasonable efforts to mitigate its impact and resume performance as soon as practicable. If a force majeure event continues for more than 90 consecutive days, either party may terminate the affected portion of these Terms upon written notice to the other party.

Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Nevada, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the platform shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, conducted in Las Vegas, Nevada.

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.

Small Claims Exception: Notwithstanding the arbitration provisions above, either party may bring an individual action in small claims court in Clark County, Nevada (or the county in which you reside), provided the claim falls within the jurisdictional limits of that court and the action is brought and maintained as an individual action.

Class Action Waiver: You agree that any claims must be brought in your individual capacity, not as a plaintiff or class member in any purported class action, collective action, representative action, or private attorney general proceeding. YOU AND MANAGEIT EACH WAIVE THE RIGHT TO A TRIAL BY JURY IN CONNECTION WITH ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM. If a court or arbitrator determines that this class action waiver or jury trial waiver is unenforceable as to a particular claim or request for relief, then that specific claim or request for relief (and only that claim or request for relief) shall be severed from the arbitration and may be brought in a court of competent jurisdiction, while all remaining claims shall continue to be resolved through arbitration.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms to any third party without the prior written consent of ManageIt. Any attempted assignment, transfer, or delegation without such consent shall be null and void.

ManageIt may assign, transfer, or delegate its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, sale of all or substantially all of its assets, or similar transaction. In the event of such assignment, ManageIt will notify you by posting updated Terms on the platform or by email.

Legal Notices to ManageIt: All legal notices to ManageIt must be sent by U.S. mail or recognized overnight courier to:

Alternatively, legal notices may be sent by email to legal@getmanageit.io. Notices sent by email are deemed received on the next business day after sending, provided no delivery failure notification is received.

Notices to Users: ManageIt may send notices to users by email to the email address associated with the user’s account, or by in-app notification through the ManageIt platform. Notices sent by email are deemed received on the next business day after sending. Notices posted as in-app notifications are deemed received when the notification is delivered to the user’s account.

Notices sent by U.S. mail are deemed received five (5) business days after the date of mailing. Notices sent by overnight courier are deemed received one (1) business day after the date of dispatch.

It is your responsibility to keep your account email address current and to regularly check for notifications within the platform.

Entire Agreement

These Terms of Service, together with the Privacy Policy and any applicable order forms, subscription agreements, or supplemental terms referenced herein, constitute the entire agreement between you and Manage It, LLC with respect to the subject matter hereof.

This agreement supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the ManageIt platform and the subject matter of these Terms.

In the event of a conflict between these Terms and any order form or supplemental terms, the order form or supplemental terms shall control to the extent of the conflict, unless such supplemental terms expressly state otherwise.

Waiver

The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

A waiver of any right or provision under these Terms shall only be effective if it is in writing and signed by the waiving party. Even if a waiver is granted on one occasion, it does not obligate the waiving party to grant the same waiver on any future occasion.

Relationship of Parties

The relationship between ManageIt and you is that of independent contractors. Nothing in these Terms shall be construed to create a partnership, joint venture, employment, franchise, or agency relationship between the parties.

Neither party has the authority to bind the other party, to assume or create any obligation on behalf of the other party, or to represent that it has such authority. Neither party’s employees or agents shall be considered employees or agents of the other party for any purpose.

Third-Party Beneficiaries

These Terms are entered into solely between you and Manage It, LLC. Nothing in these Terms is intended to confer any rights, remedies, obligations, or liabilities upon any person or entity other than the parties to these Terms.

No third party shall have any right to enforce any provision of these Terms, whether under the Contracts (Rights of Third Parties) Act or any similar legislation in any jurisdiction, or otherwise.

Headings

The section headings used in these Terms of Service are included for convenience of reference only and shall not affect the meaning, interpretation, or construction of any provision of these Terms.
